PSAB Constitution & Bylaws Committee Proposes Bylaw Amendment

Re: Proposed Constitution Amendment Date: April 14, 2022
As stated in the Constitution under ArticleVI-Amendments, each member borough must be notified at least thirty(30) days prior to the annual meeting at which any amendment is voted upon.
The Constitution & Bylaws Committee met on September 14, 2020. A motion was made and seconded to amend the PSAB Constitution. The Board of Directors approved this amendment on October 15, 2020.
Proposed Constitution Change
The proposed Constitution amendment involves consideration of the extent of the authority to act under emergency circumstances.
Please find attached the new "ArticleVI-Emergency Authority"
The proposed changes will be voted on by your official borough delegate at the Annual Business Meeting on Wednesday, May 25, 2022 at The Hershey Lodge.

CONSTITUTION
A) New "ArticleVI-Emergency Authority" was added to read as follows:
ARTICLEVI-EMERGENCYAUTHORITY
Section 1. Emergency Authority. In the event ofany official declaration of disaster or emergency by federal, Commonwealth of Pennsylvania or local government pursuant to applicable statutes, laws, rules or regulations thereof which in any way prevents, hinders, delays or otherwise impacts adversely, as the Board ofDirectors shall determine, the Purpose, function and operation of the Association, the Board of Directors may exercise at its discretion all emergency procedures and actions to conduct all matters and operations of the Association as set forth in this Constitution.
Section 2. Suspension of Procedures. The exercise of the emergency authority as provided in this Article VI shall be enacted by resolution by the Board of Directors or the Executive Committee and includes without limitation the authority to suspend, modify and supplement in whole or in part the scheduling of all meetings, conferences, and conduct of business and elections by electronic, telephone and other telecommunication means. All directives and actions authorized by the Board of Directors pursuant to this ArticleVI shall have full force and remain in effect until the first Annual Conference following termination of the declaration of disaster oremergency, unless sooner rescinded or terminated by the Board of Directors.
B) Former "Article VI -Amendments" was retitled as ARTICLE VII-Amendments. The text of Article VI-Amendments, Section I, regarding requirements and procedures for amending the Constitution remains unchanged.
